senden wir Ihnen ein offizielles Statement unseres Vice Presidents Mr. Charley
Clark in Bezug auf die Namensrechte fuer "Winchip".
Bitte stellen Sie sicher, dass Sie keine Produkte unter dem Namen "Winchip"
vermarkten bzw. den Namen "Winchip" aus Ihrer kompletten Produktliteratur incl.
Ihrer Webseite entfernen.
Bitte verwenden Sie in Zukunft unser IDT Logo, den Oberbegriff "IDT x86
Microprocessor" sowie zur Produktidentifizierung unsere Partnumbers (z.B.
C6 PSME200GA, W2-3DEE200GSA etc.).
Ausserdem moechten wir Sie ebenfalls bitten, uns Ihren derzeitigen Lager-
bestand mit ******* gelabelten CPUs und Ihre Bezugsquelle mitzuteilen.
Falls Sie Ihrerseits unsere CPUs an Wiederverkauefer veraeussert haben,
bitten wir Sie, diese Mitteilung entsprechend weiterzuleiten.
Wir entschuldigen uns fuer entstehende Unannehmlichkeiten und natuerlich
stehe ich Ihnen fuer weitere Fragen jederzeit gerne zur Verfuegung.

Re: Winchip Trademark
Dear Valued Customer,
IDT has been accused of infringing a German trademark due to IDT's use of
winchip in Germany. To avert any potential loability, IDT has responded by
removing its WinChip logo from ******* microprocessors destined for Germany
and by modifying its web pages to discourage anyone in Germany from viewing
the term "WinChip".
We wish to apologize for any inconvenience caused by IDT in connection
with your use of the WinChip trademark in Germany. If you have any remaining
*******-branded microprocessors in Germany, please return them to Norbert
Lohweiser, Central Europe WinChip sales representative, and he will replace the
parts with equivalent parts bearing only a part number. You should stop all use of
of the WinChip trademark in Germany immediately. This means that no literature or
containers bearing the trademark may be distributed in Germany.

Should Mr. Rosé or his attorneys contact you regarding the WinChip

are conferring with German trademark counsel regarding this matter and will take
all appropriate actions to stand by its customers and to make the withdrawal of the
WinChip trademark as transparent and cost-free as possible.

Please do not sign any letters or agreements that Mr. Augustinowski sends you. Please discontinue using winchip or the winchip logo in any advertising targeted specifically for Germany. You can tell Roses attorneys that (1) you are not selling any IDT products bearing the winchip mark and (2) if this is true, that you have not used the winchip mark in any of your advertising and have no intention of doing so without a disclaimer. If it is difficult to discontinue using the winchip mark in your advertising you can limit your liability substantially by including the following disclaimer: "The following text and the respective offers that utilize either the WinChip name or logo are not designed for anyone located in Germany." Please let me know if you hear from Augustinowski again. Thanks.

Dear Mr ....,
This letter is in response to your letter dated July 5,1999. Unless you believe that you have a good defense to the trademark
allegations, I recommend that you settle this dispute with Rose's counsel by signing a modified Cease and Desist Declaration. I
think the best course to persue at this time would be to request a drecrease in the amount of damages that Rose's counsel is
requesting from you.
You requested indemnity from IDT for the alleged violation of the winchip trademark. Unfortunately, IDT is not able to assume any voluntary obligation of payment at this time due its insurance policy. We expect to hear from our insurance carrier late today. Should the circumstances change, we will notify you immediately.
